The CSA Annual Conference was run from 5 to 7 December 2011. The Conference had a theme of international governance. Following are links to a selection of interviews with speakers at the Conference on international governance issues and other topics.

 

How global regulation can affect Australian business
2012 will see some important global regulation coming into play in the Australian business environment. In this interview, Nathan Lynch, Head Regulatory Analyst, Thomson Reuters Governance, Risk and Compliance in Australia and New Zealand, speaks about the impact of, in particular, anti-bribery legislation and new sanctions laws.

Emerging economies
Award winning speaker, entrepreneur and BRIC expert, David Thomas addressed the CSA Annual Conference on global economic trends and emerging markets. His focus, and speciality, was on the rising economic powers, Brazil, Russia, India and China. In this interview, he outlines the underlying circumstances that have led to these economies becoming larger and more stable.

International regulatory reform
In the international push to minimise systemic risk and prevent future systems failure, global regulation has been put forward as part of the reform agenda. Ian Johnston, Deputy Chief Executive and Managing Director of the Dubai Financial Services Authority provided an overview of the global regulatory program at the CSA conference. He is particularly well placed to review this subject since Ian is a past Chairman of the Joint Forum which comprises representatives of the major international regulatory standard-setters (IOSCO, Basel Committee and IAIS).

Executive remuneration and stakeholder engagement
As the 2011 Annual Conference was held in early December, it provided the opportunity to review the recent round of Annual General Meetings, and in particular the voting on executive remuneration reports. In one of the conference sessions, Simon Pordage FCIS, Company Secretary, Australian Foundation Investment Company Limited reflected on the outcome of the voting and the way ahead leading up to the next round of AGMs.

Business ethics in the 21st century
What does ethical business behaviour really mean in the day-to-day working life of a professional and how to manage it? Perhaps an easy question to ask but not necessarily one with a straightforward answer. In this interview, Dr Attracta Lagan of Managing Values shared some of the findings of research on current business ethics.

Financial literacy for lawyers, company secretaries and directors
The 2011 court decision in the Centro case highlighted the need for directors to have a meaningful level of financial understanding. The ripples from this decision have continued with directors and executives reviewing their own level of knowledge and the means at their disposal of improving their capability in this area. Andrew McRobert, internationally recognised writer and presenter on financial literacy, conducted a session at the CSA Annual Conference.

Double edged sword of communicating via social media
Love it or hate it, social media has to be considered as part of the current business environment. What was previously the domain of university students and youth in general, has now become mainstream. Together with this expansion in usage have come wide-ranging complications for the modern executive and the board. James Griffin, Co-founder of SR7 is speaking with Peter Dongas.

Corporate structure — keep it simple
Streamlining a corporate structure is no longer a housekeeping matter but rather is vital to business efficiency. That's the view of David Pratt, author of an article on corporate structure in the December 2011 issue of Keeping good companies. David is a Partner in the Corporate Advisory and Restructuring group of PwC and he explains to Peter Dongas how these complex structures come about.

Direct action by creditors against directors — McCracken
A lesser known section of the Corporations Act 2001 has been invoked to require a company director to pay damages to a former business partner. Although an appeal on the decision is pending, this Queensland Supreme Court case has attracted some attention because it may open up an avenue for litigation to recover damages for breaches of directors' duties. Geoff Hoffman, Partner at Clayton Utz explains the facts of the case and possible ramifications to Peter Dongas.

Cultural governance — ensuring 'fit' in the boardroom
An increase in age and gender diversity at the board level is already apparent. This is the view of Ann-Maree Moodie FCIS, Managing Director of The Boardroom Consulting Group. In an article in the August 2011 issue of Keeping good companies, she goes on to say that this trend will increasingly raise some challenges for boards, chairmen and the new directors themselves.

Regulating ASX — the regulation of listing, trading, clearing and settlement businesses
ASX has emerged as an integrated collection of different businesses even though many might still consider ASX as either a regulatory agency or simply the operator of a securities exchange. This has raised the question of how ASX itself is regulated. Peter Dongas talks to Malcolm Starr, Executive General Manager, Regulatory and Public Policy, ASX.

Key risk indicators — a link between risk management, operations and strategy
While a company may have all its risk policies and procedures in place, it seems it can still be a victim of risk management breakdown if there is no integration of the policies and procedures and no integration of the operational strategy and risk management. In this podcast, Matthew Tice, Managing Director of The Palladium Group Asia Pacific discusses the link between the needs of strategic performance and risk management, which are often seen to be competing. He is in conversation with Peter Dongas.

27th National Conference 2010
Balancing regulatory and investor engagement

As a key speaker at the Conference, Peter Montagnon offered some thoughts on the impact of the GFC on international thinking about governance and its role in building market confidence. Peter is a Senior Adviser to the Financial Reporting Council which is the UK's independent regulator responsible for Audit, Accounting, Actuaries and Corporate Governance. They are the sponsors of the UK Corporate Governance Code and the new Stewardship code for investors.

The GFC and its ongoing impact
In a review and an analysis of the global financial crisis, issues such as the banking crisis, the trade in toxic derivatives, the mounting debt in European countries such as Greece and Ireland and Portugal, were described by Professor Yanis Varoufakis of the Department of Political Economy at the University of Athens, as symptoms or by-products of the greater malaise in the global economy. Professor Varoufakis is speaking to Peter Dongas at the 2010 CSA National Conference.

In the same session, Dr Paul Frijters, Professor of Economics at the University of Queensland, cited the effects of interest rates and oversight of the banking sector as causes of the GFC.

Enterprise risk management
In one of the interactive forums at the National Conference, Andrew Bissett, former Head of Risk & Reporting at Qantas and a current member of the Risk & Audit Committee of Macquarie University, spoke about extracting value out of an enterprise risk management program, as a way of integrating risk management strategies into the core function of the business. Peter Dongas interviewed him after his presentation.

Board diversity
In the session on board diversity, three practitioners were engaged in a discussion on targets or quotas for women directors. The interactive session invited questions from the floor using an electronic device which allowed the questions to be sent as tweets to the moderator of the session, Tony Jones. The electronic device also allowed for voting on particular topics with an instant display of the results as you will hear in this excerpt of the session with Sam Butcher FCIS, Director of Drascombe, John Meacock, Managing Partner NSW of Deloitte and Edith Shih FCIS, Head Group Counsel and Company Secretary of Hutchinson Whampoa Ltd in Hong Kong.
